GTCO will list in the London Stock Exchange, look for $ 100 million for recapitalization

Guarantee Trust Holding Company PLC (GTCO) is ready to list its shares in the London Stock Exchange, since it revealed plans to raise approximately $ 100 million through an offer and transition of fully commercialized capital of its current structure of global deposits receipts (RDA).

According to a dissemination sent to the Nigerian Exchange Limited (NGX) on Thursday, the offer began on July 2 and is expected to close on July 3, 2025. The admission of GTCO's ordinary shares to the London Stock Exchange is scheduled for 8:00 am on July 9, 2025.

GTCO said that, in line with this movement, it has been applied to cancel the list of its GDR on the official FCA list and the main market of the London Stock Exchange. Instead, the company will enumerate its ordinary shares directly in the LSE under the symbol of the “GTHC” ticket, which will then be changed to “GTCO” after the cancellation of the RDA before July 31, 2025.

The group explained that the offer would support the recapitalization of its bank subsidiary, GTBANK Nigeria, in line with the new minimum capital requirement of the Central Bank of Nigeria of ₦ 500 billion for international commercial banks.

“The net income of this offer will be used mainly for the additional recapitalization of GTBANK Nigeria and is intended to be implemented according to GTCO's growth strategy,” said the company.

According to the executive director of the GTCO group, according to Agbaje, the development marks a decisive moment in the company's growth trajectory.

“This offer and transition to a complete list in the official list of the FCA and the commerce of the company's actions in the main market of the London Stock Exchange for the listed values ​​represents a fundamental moment in the history of GTCO growth, reinforcing our position as an institution of African financial services of progress,” said Agbage.

He added: “By improving our global visibility and access to capital, we are not only advancing our own ambitions, but also unlocking transformative opportunities in the markets and segments of customers we serve.”

In July 2024, GTCO completed the first section of its capital increase, ensuring ₦ 209 billion. The current offer represents the second stretch destined to comply with the deadline of CBN in March 2026.

GTCO also revealed that he offered profits after taxes of ₦ 258 billion in the first quarter of 2025, which represents an year -on -year growth of 61 percent (excluding fair value profits), driven by strong central profits. The bankless loan index improved 4.5 percent during the period under review, below 5.2 percent at the end of 2024.
