Pfizer to acquire the drug manufacturer for weight loss, metsera, in an agreement of $ 7.3 billion

Pfizer Inc. (NYSE: PFE) and Metsera Inc. (Nasdaq: MTSR) have agreed to a definitive agreement under which Pfizer will acquire metsera, a biopharmaceutical company of the clinical stage centered on obesity and cardiomethabolic treatments.

The board of directors of both companies have unanimously approved the transaction.

“Obesity is a large and growth space with more than 200 health conditions associated with you. The proposed metsera acquisition is aligned with our focus on directing our investments to the most shocking opportunities and drives Pfizer to this key therapeutic area,” said Albert Bourla, president and executive director, Pfizer.

“We are excited to apply our deep heart experience and commercial infrastructure and commercial infrastructure to accelerate a portfolio that includes better injectable potentials in its class, with clinical data differentiated by efficacy, tolerability and durability that supports the monthly dose, with the objective of addressing continuous innumerable needs associated with obesity and related diseases.”

Metsera has four programs in clinical development and several next -generation studies in progress. Its pipe includes MET-097I, a weekly and monthly GLP-1 receptable agonist in phase 2 tests; MET-233I, a monthly amiline analogue in phase 1 as independent therapy and in combination with MET-097I; two Oral GLP-1 candidates about to enter clinical tests; and other therapies based on initial stage hormones. The initial results of phase 1 for MET-233I were presented on September 17 at the European Association for Diabetes Study (EASD).

Pfizer said Monday that he would acquire the drug manufacturer to lose weight for up to $ 7.3 billion, including future payments, since he seeks to expand in the growing obesity treatment market.

The US obesity drug sector has increased in recent years, led by treatments based on NOVO Nordisk and Eli Lilly. Analysts point out that the market continues to grow, although coverage, prices, supply and regulation will affect its scale.

The agreement occurs after Pfizer’s weight loss pill, Danuglipron, faced setbacks in the tests. According to the agreement, Pfizer will pay $ 47.50 per cash, a 43% premium on the latest metsest closure price.

Metsera can also receive up to $ 22.50 per share in milestone payments. Their shares increased 56% in trade prior to the market after the ad.
